1. Who you are contracting with

These Terms & Conditions ("Terms") form a binding agreement between you and Holo ("Holo", "we", "us"), the operator of the Holo design-tool service ("Service"). By creating an account or continuing to use the Service you agree to these Terms.

2. The Service

Holo is an AI design tool. It helps designers, studios, and brands build, edit, and export interactive visual design tools and parametric design assets (such as motion graphics, shaders, kinetic typography, and embeddable scenes) using an AI design assistant. Features and limits depend on your plan.

3. Your account

You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account. You must be old enough to form a binding contract in your jurisdiction.

4. Acceptable use

You must not:

• Use the Service unlawfully, fraudulently, or to send spam.
• Infringe the intellectual property or other rights of any third party.
• Probe, scan, scrape, or interfere with the security or integrity of the Service.
• Reverse engineer, resell, or redistribute the Service without our written consent.
• Generate illegal content, non-consensual sexual content, content that exploits minors, deepfakes intended to deceive, hate speech, harassment, malware, or content designed to jailbreak AI safety systems.

You are responsible for your prompts, for how you use generated outputs, for verifying their accuracy, and for having the necessary rights to any content you upload.

5. Intellectual property

The Service, its software, branding, and documentation are owned by Holo and its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within your plan. You retain the rights you hold in the content you input. We may remove or restrict content, refuse or filter outputs, and respond to rights-holder takedown requests; repeat infringers may have their accounts terminated.

6. AI design assistant outputs

Holo's AI design assistant produces design tools and visual assets based on your prompts and parameters. Outputs are intended as design material that you review, edit, and integrate into your own work. They may be inaccurate, incomplete, or unsuitable for regulated professional use without independent review. You are responsible for reviewing outputs before relying on them or publishing them.

7. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically until cancelled.

8. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, a security or fraud risk, or repeated or serious policy violations. You may stop using the Service and cancel your subscription at any time.

9. Warranties and liability

The Service is provided "as is" without warranties of any kind. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose, and we are not liable for indirect, consequential, or special damages. Our aggregate liability is capped at the fees you paid in the 12 months preceding the claim. Nothing in these Terms limits liability for fraud, death, or personal injury where prohibited by law.

10. Indemnity

You agree to indemnify Holo against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

11. Changes

We may update these Terms. Material changes will be notified through the Service. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the jurisdiction where Holo is established, without regard to conflict-of-law principles.
